These terms explain how you may use this website, what the information published here does and does not commit us to, and how a real engagement with Asama Bisato International Ltd is agreed.
The short version. This website is here to inform you about what we build and supply. Nothing on it is a binding offer, a fixed quotation, or a contract. Work only becomes a commitment once we both sign a proposal, contract, or work order for a defined scope.
If a signed engagement document ever says something different from this page, the signed document wins for that project. These website terms keep governing your use of the website itself.
Agreement to these terms
These Terms of Service (the "Terms") form an agreement between you and Asama Bisato International Ltd ("Asama Bisato", "we", "us", or "our"), a company based at Hollywood, Florida 33023, USA. They govern your access to and use of https://asamabisato.com and any page, form, download, or feature published on it (together, the "Website").
By accessing or using the Website, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, please stop using the Website.
If you use the Website on behalf of a company, agency, or other organisation, you confirm that you have authority to accept these Terms for that organisation, and "you" then means both you and that organisation. You must be at least 18 years old, or the age of majority where you live, to use the Website.
Definitions
The following terms are used throughout this page:
- Website: the pages, content, forms, and files published at https://asamabisato.com.
- Content: all text, images, drawings, diagrams, project write-ups, specifications, charts, logos, layouts, and code published on the Website.
- Services: the work we deliver commercially, across Civil Engineering, General Construction, Electrical Works, Plumbing Services, Prefabricated Homes, Real Estate Development, and Oil Procurement & Resale, together with our flagship Digital Magnetic Induction Generator ("DMIG") clean-energy platform.
- Engagement Contract: a signed proposal, contract, purchase order, supply agreement, or work order between you and Asama Bisato that defines an agreed scope, price, and schedule.
- Enquiry: any message, form submission, request for information, or request for a quotation that you send us through the Website.
Scope of this website
The Website is published for general information and marketing purposes. It describes our capabilities, past projects, service sectors, and the DMIG platform so that prospective clients, partners, and investors can decide whether to start a conversation with us.
Nothing on the Website is an offer capable of acceptance, an invitation to treat that binds us, a professional engineering opinion, a financial or investment recommendation, or legal advice. Site descriptions, capacities, timelines, and specifications are illustrative of the kind of work we do, not a commitment to deliver identical results on your project.
You should not act, or refrain from acting, on the basis of the Website alone. Before making a decision that matters commercially or technically, ask us in writing and obtain a scoped proposal or an appropriately qualified professional opinion.
We may change, suspend, or withdraw any part of the Website at any time, and we do not promise that it will always be available or free of interruption.
Services and engagement contracts
Our Services are always delivered under a separate Engagement Contract. Reading the Website, sending an Enquiry, receiving an indicative figure, or holding an exploratory conversation with our team does not create a contract, a reservation of capacity, or an obligation on either side to proceed.
An engagement begins only when scope, price, schedule, standards, and responsibilities have been agreed and recorded in a document signed by both parties. Until then, either party may walk away without liability.
Order of precedence. Where an Engagement Contract conflicts with these Terms, the Engagement Contract prevails in respect of the Services it covers. These Terms continue to govern your use of the Website in all cases, including while an Engagement Contract is in force.
Some Services carry additional requirements before we can proceed. In particular, Oil Procurement & Resale is subject to know-your-customer ("KYC") and compliance checks, including corporate documentation, beneficial-ownership disclosure, and end-user information. We may decline or discontinue any enquiry or engagement where those checks are not satisfied, or where proceeding would conflict with applicable sanctions, export control, anti-money-laundering, or other legal obligations.
Quotations, pricing, and estimates
Any price, rate, range, tier, or "starts from" figure shown on the Website is indicative only. It is published to give you a sense of scale, not to state what your project will cost. It is not a quotation, not an offer, and not binding on us.
Real pricing is scoped and quoted per project. A firm price is issued in writing after we have reviewed your requirements, site conditions, drawings or specifications, programme, materials, applicable standards, and any regulatory or permitting constraints. Only a written quotation issued by an authorised representative of Asama Bisato, and only within its stated validity period, can be relied on.
Pricing for Oil Procurement & Resale is market-linked and set per shipment against the applicable benchmark at lifting, so it moves with the market and cannot be fixed by anything published here.
We may correct obvious errors in any figure, whether published on the Website or issued in writing, and we are not bound by a price that resulted from a manifest typographical or calculation error.
Enquiries, forms, and communications
When you contact us through the Website, you agree to provide accurate, current, and complete information, and to keep it up to date if circumstances change. Enquiries built on inaccurate or incomplete information may lead to inaccurate responses, and we are not responsible for that outcome.
You agree not to use our forms or contact details to:
- send unsolicited advertising, bulk messages, spam, or chain communications;
- impersonate another person or organisation, or misstate your relationship with one;
- submit unlawful, defamatory, harassing, obscene, or deliberately misleading content;
- transmit malware, harmful code, or automated submissions generated by scripts or bots;
- submit confidential information belonging to a third party without the right to do so.
By contacting us, you agree that we may reply by email, telephone, or messaging using the details you supply, in order to respond to your Enquiry. A response from us is informational and does not commit us to accept an engagement.
Please do not send us confidential, privileged, or commercially sensitive material through an unprotected web form. Unless we have signed a confidentiality agreement with you, any idea, suggestion, or feedback you volunteer about our Website or Services may be used by us without restriction, obligation, or payment. This does not apply to your business, project, or personal data, which is handled as described in our privacy notice.
Acceptable use of the website
You may use the Website only for lawful purposes and in a way that does not restrict or inhibit anyone else's use of it. Specifically, you must not:
- scrape, harvest, crawl, mirror, or systematically extract Content, or use automated tools to do so, except for well-behaved search engine indexing consistent with our robots directives;
- reverse engineer, decompile, or attempt to derive the source, structure, or underlying know-how of the Website or of any technology described on it, including DMIG;
- probe, scan, or test the vulnerability of the Website or any related system, or breach or circumvent any security, authentication, or rate-limiting measure;

- misrepresent yourself as Asama Bisato or as an agent, distributor, partner, or authorised representative of Asama Bisato;
- frame, mirror, or republish the Website in a way that suggests endorsement or affiliation that does not exist;
- use the Website or its Content to build, train, or benchmark a competing offering, or for any commercial purpose beyond evaluating whether to engage us.
We may investigate suspected breaches, block access, and refer serious matters to the appropriate authorities. We may also restrict or terminate your access to the Website at any time, without notice, where we reasonably consider it necessary.
Intellectual property
The Website and all Content on it are owned by Asama Bisato or licensed to us, and are protected by copyright, trade mark, database, and other intellectual property laws. This includes the "Asama Bisato" name, the DMIG name, our logos, brand elements, page designs, photography, project documentation, technical diagrams, and copy.
The DMIG platform, together with its designs, engineering drawings, control logic, test data, configurations, and associated know-how, remains our exclusive property. Publishing descriptive information about DMIG on the Website does not transfer, license, dedicate to the public, or otherwise give up any right in that technology.
We grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-commercial licence to access and view the Website, and to print or download individual pages for your own internal evaluation of our Services. All other rights are reserved.
You must not copy, adapt, translate, distribute, publicly display, sell, or create derivative works from the Content without our prior written permission. If we do give you permission, you must keep all copyright, trade mark, and attribution notices intact. Third party names, marks, and logos that appear on the Website remain the property of their respective owners and are used for identification only.
Third-party links and embeds
The Website may link to, or embed content from, sites and services we do not control, including mapping providers, social platforms, document hosts, and partner or supplier pages. Those links are offered for convenience and information.
We do not endorse, monitor, or take responsibility for third-party content, products, policies, or practices, and we are not liable for any loss arising from your use of them. Once you leave the Website, the terms and privacy policies of that third party apply, and you should read them.
Naming a supplier, standard, benchmark, manufacturer, or public body on the Website does not imply that they sponsor, endorse, certify, or are affiliated with Asama Bisato unless we state that relationship expressly.
Forward-looking statements and performance data
Parts of the Website look forward: deployment plans, capacity ambitions, cost trajectories, market commentary, and expected project outcomes. Statements of that kind reflect our current expectations and assumptions at the time of publication. They involve risks and uncertainties, they are not guarantees, and actual outcomes may differ materially. We are not obliged to update them as circumstances change.
Performance figures quoted for the DMIG platform are representative of tested and commissioned configurations under the conditions in which they were measured:

Actual results vary by site, load profile, ambient and grid conditions, chosen configuration, installation quality, and maintenance regime. Comparative figures for other generation sources are drawn from published benchmarks and are included for context, not as a representation about any specific competing installation.
Project figures, capacities, timelines, and outcomes shown in our portfolio describe what was delivered on those specific engagements. They are not a promise of equivalent results on yours. Any performance commitment for your project will be set out in your Engagement Contract and nowhere else.
Disclaimer of warranties
The Website and its Content are provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting that, we do not warrant that the Website will be uninterrupted, secure, or error free, that defects will be corrected, that the Website is free of viruses or other harmful components, or that the Content is complete, current, or accurate at any given moment.
This section applies to the Website only. Warranties relating to the Services we actually perform for you, including workmanship and structural warranties where offered, are set out in your Engagement Contract. Nothing here limits any warranty given there.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. In that case, the excluded warranties are limited to the minimum extent the law permits.
Limitation of liability
To the fullest extent permitted by law, Asama Bisato and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, opportunity, goodwill, contracts, or data, arising out of or in connection with your access to or use of the Website, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of such loss.
Our total aggregate liability arising out of or relating to the Website and these Terms will not exceed one hundred United States dollars (USD 100). This cap applies to the Website only. Liability arising from Services delivered under an Engagement Contract is governed by the limits set out in that contract.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Indemnity
You agree to indemnify, defend, and hold harmless Asama Bisato and its directors, officers, employees, and agents from and against any claim, demand, proceeding, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or connected with:
- your breach of these Terms or of any applicable law or regulation;
- your misuse of the Website, including any activity listed under acceptable use;
- content or information you submit to us, including any claim that it infringes a third party's rights or was submitted without the right to do so;
- your reliance on Website Content in place of a signed Engagement Contract or a scoped professional opinion.
We will notify you of any claim covered by this section and may participate in its defence at our own expense. You may not settle a claim in a way that imposes an obligation or admission on us without our prior written consent.
Privacy
Personal information you provide through the Website, including through enquiry and contact forms, is handled as described in our Privacy Policy, which forms part of these Terms.
Please read it before submitting an Enquiry. If you do not agree with how we handle personal information, do not submit personal information through the Website. You can reach us at info@asamabisato.com with any question about it.
Governing law and dispute resolution
These Terms and any dispute or claim arising out of or in connection with them, the Website, or their subject matter, including non-contractual disputes, are governed by the laws of the State of Florida, United States of America, without regard to its conflict of law rules.
Talk to us first. If something goes wrong, we would rather fix it than litigate it. Before starting formal proceedings, please write to us at info@asamabisato.com setting out the issue, the outcome you are seeking, and a contact for follow-up. We will acknowledge your notice and work with you in good faith for thirty (30) days to resolve the matter informally. Either party may proceed once that period has passed without resolution.
If informal resolution does not succeed, you and Asama Bisato agree that the state and federal courts located in Broward County, Florida, USA, have exclusive jurisdiction, and each party submits to the personal jurisdiction and venue of those courts and waives any objection based on inconvenient forum.
Where an Engagement Contract sets out its own governing law or dispute resolution procedure, that procedure applies to disputes about the Services it covers. We operate internationally, including in Ghana, and we make no representation that the Website or its Content is appropriate or available in every jurisdiction. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local law.
Changes to these terms
We may update these Terms from time to time to reflect changes in our Services, our practices, or the law. When we do, we will revise the "Last updated" date and version shown at the top of this page.
Changes take effect when they are posted. Your continued use of the Website after that point means you accept the revised Terms, so please check this page periodically. If a change is material, we will take reasonable steps to highlight it.
Changes to these Terms do not alter an Engagement Contract that is already signed. Those documents are amended only in the way they themselves provide.
Severability and entire agreement
Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No waiver. If we do not enforce a right or provision under these Terms, that is not a waiver of it. A waiver is effective only if given by us in writing.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a reorganisation, merger, or transfer of business.
No third-party rights. These Terms are between you and Asama Bisato. No other person has a right to enforce them.
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Asama Bisato regarding the Website, and replace any earlier understanding on that subject. Where you also hold an Engagement Contract with us, that contract together with these Terms forms the complete agreement between us, with the Engagement Contract prevailing over these Terms in respect of the Services it covers.
Survival. The sections on intellectual property, disclaimer of warranties, limitation of liability, indemnity, and governing law survive any termination of your access to the Website.
